DISPUTE RESOLUTION AND LEGAL FEES POLICY

This policy governs all disputes and legal matters arising from the Educational Services Agreement between Valor Global Online (VGO) and enrolled families.

1. DISPUTE RESOLUTION PROCESS

In the event of any dispute, controversy, or claim arising out of or relating to the Educational Services Agreement or the educational services provided by VGO, the parties agree to the following resolution process:

Step 1 - Informal Resolution: The parties will first attempt to resolve the dispute through good faith negotiation within 30 days of written notice of the dispute.

Step 2 - Mediation: If the dispute cannot be resolved through negotiation, the parties agree to participate in mediation administered by the American Arbitration Association or a mutually agreed upon mediator. The costs of mediation shall be shared equally by both parties.

Step 3 - Binding Arbitration: If mediation does not resolve the dispute within 60 days, the dispute shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Austin, Texas. The decision of the arbitrator shall be final and binding, and judgment may be entered upon it in any court of competent jurisdiction.

Exceptions: Nothing in this policy shall prevent either party from seeking injunctive or equitable relief in court to prevent immediate and irreparable harm, or from pursuing claims in small claims court if the claim qualifies.

2. ATTORNEY'S FEES AND COLLECTION COSTS

Valor Global Online is entitled to be reimbursed for any attorney's fees and costs incurred in the collection of any unpaid balance owed under the Educational Services Agreement.

3. GOVERNING LAW

This policy and the Educational Services Agreement shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions.
